Supplier Code of Conduct

As a global socially-led agency network, we expect our partners, vendors, creators, and collaborators (“Suppliers”) to share and uphold our values of integrity, inclusivity, accountability, and responsible innovation.

This Supplier Code of Conduct (“Code”) outlines the standards we expect from all third parties working with or on behalf of We Are Social or one of our agency brands* (collectively, “we”, “us”, “our”) — across content, campaigns, platforms, and production.

All Suppliers who work with us agree to comply with this Code (as amended from time to time) and agree to ensure that their employees and subcontractors comply with its terms.

*The agency brands within our network are: We Are Social, The Narrative Group, Plus Studios, Socialize, Hello, Make My Day, Metta, and Kobe

  1. Compliance with laws and professional codes

Suppliers are required to comply with all applicable local laws in the conduct of their business. Please remember that compliance with the law means not only following the letter of the law but also conducting business in a way that ensures that we maintain our reputation of integrity and honesty. In addition, Suppliers regulated by professional codes of practice, conduct, or ethics, are required to comply with any guidelines or codes set out by their governing body.

  1. Confidentiality

All Suppliers must treat our confidential information in the strictest of confidence – this extends to the information of our business, clients, and other suppliers.

Suppliers also acknowledge that confidential information affects the successful conduct of our business and goodwill, and that our confidential information shall remain our exclusive property.

  1. Information Security and Data Protection

Suppliers should comply with applicable data privacy laws (e.g., GDPR, CCPA) and must ensure all confidential or proprietary information and personal data must be protected from unauthorised or unlawful processing, access, destruction, use, modification, and disclosure, and against accidental loss, destruction, or damage through appropriate technical and organisational measures, including physical and electronic security procedures.

Suppliers are expected to take the necessary information security measures, including for computer systems and portable electronic devices, to protect against malware and unauthorised disclosure of any personal data and proprietary information. Suppliers are responsible for tracking new data privacy laws, as well as any modifications to existing laws.

  1. Conflicts of interest

Suppliers must avoid placing themselves in situations where their interests may conflict, or could reasonably be expected to create a conflict with ours.

All business decisions must be made solely in the best interests of our network and its clients, based on sound business judgment. If a situation constituting a conflict of interest, or that could constitute a conflict of interest is encountered, Suppliers must promptly inform their point-of-contact at the agency and act in good faith with us to find a resolution.

  1. Gifts, payments, and entertainment

Suppliers and potential Suppliers must not offer to us and any of our employees any improper gifts, monetary or otherwise (whether directly or through a client).

An improper gift may include anything of value offered in an attempt to influence our business judgment. Whether a gift is improper or inappropriate may vary depending on the circumstances and the geographic location, so please refer any queries to your agency point-of contact.

It is prohibited for Suppliers to make payments or offer benefits of any kind to our employees to influence the performance of their duties or functions or to induce their position to influence any acts or decisions for obtaining a contract.

  1. Collusion and corruption

Any act (or involvement in an act) of collusion, conspiracy, extortion, embezzlement, bribery, arrangement concerning price fixing with other Suppliers, or any agreement that is intended to reduce competition or obtain an unfair or improper advantage on our behalf – or any arrangement that might prevent the normal course of business between us and our Suppliers – is strictly prohibited. This includes any form of corruption (passive or active), bid-rigging, influence-peddling, use of confidential information, mismanagement, or falsification.

This prohibition extends to payments and gifts of cash or in kind, made directly or through others, and includes a prohibition on facilitation payments intended to expedite or secure the performance of routine governmental actions, such as obtaining a visa or customs clearance, even in locations where such activity may not violate local law.

Suppliers shall abide by all applicable anti-corruption laws and regulations of the countries in which they operate, including the Corruption of Foreign Public Officials Act (Canada), the US Foreign Corrupt Practices Act, the UK Bribery Act 2010, and applicable international anti-corruption conventions.

  1. Tax evasion

We are committed to the prevention of criminal tax evasion throughout our supply chain. In line with this, Suppliers must not engage in any form of facilitating tax evasion, or knowingly assist others in any way to evade taxes.

“Tax evasion” generally refers to the illegal evasion of taxes where individuals or organisations dishonestly or fraudulently under-declare their taxes. Suppliers are responsible for familiarising themselves with all applicable anti-tax evasion laws.

  1. Health and safety

Suppliers shall provide and maintain a safe work environment and integrate sound health and safety management practices into their business and shall obtain, keep current, and comply with, all required laws, regulations, health and safety permits, licences and consents.

  1. Anti-Discrimination

Suppliers must commit to providing a safe, orderly, diverse, and tolerant work environment that is free of any harassment or discrimination.

You shall not discriminate against any employee based on sex, race, religion, sexual orientation, gender identity and/or expression, national origin, age, disability, pregnancy, marital status, or any other legally protected characteristic, in hiring or other employment practices.

  1. Anti-Harassment

Harassment, discrimination, or offensive behaviour of any kind, which includes the persistent demeaning of individuals through words or actions or the display or distribution of offensive material, will not be tolerated. Suppliers shall uphold the human rights of workers and treat workers with dignity and respect. You shall ensure that workers have a mechanism to report grievances and that your business encourages and facilitates open communication between management and workers.

  1. Underage workers

Suppliers must ensure that no underage workers are engaged in the production or distribution of their goods or services. Suppliers shall only employ workers who meet the applicable legal minimum working age.

  1. Prevention of Modern Slavery and Human Trafficking

Suppliers shall take reasonable steps to ensure that modern slavery and human trafficking are not taking place in their supply chains or any part of their business.

  1. Environment

Suppliers shall develop, implement, and maintain environmentally responsible business practices, carry out their business operations with care for the environment, and comply with all applicable environmental laws and regulations.

  1. Whistleblowing

Suppliers shall have clear policies and procedures in place so that workers may report concerns about wrongdoing in their workplace without being victimised, dismissed, or otherwise retaliated against.

  1. Integrity of Supplier information

We require all Suppliers to honestly and accurately record and report business, employment, health and safety, and financial information. Invoices and all supporting documents must fairly and accurately reflect each transaction made. No false, misleading, or deliberately inaccurate documents will be tolerated for any reason.

  1. Questions and non-compliance

Anyone who has doubts as to whether they or anyone else is adhering to this Code can discuss the matter with their agency point-of-contact or via our anonymous ethics reporting line at pluscompany.ethicspoint.com.

Failure to comply with this Code could have severe consequences for both non-compliant Suppliers and us. We will be obliged to impose the appropriate disciplinary measures, up to and including termination of a contract/agreement or business relationship, for violating this Code.

Additional information

Although this Code aims to cover a wide range of situations, it cannot address every possibility. Therefore, Suppliers are expected to apply the Code’s principles and our values to any circumstances that may arise.
